1. Corporate Relationship and Legal Entity

This official disclosure clarifies the operational, contractual, and corporate structure underlying all services rendered via www.medinexusbilling.com and related commercial communications. MediNexus Billing functions as a registered assumed trade name (DBA) for RMI BPO LLC.

2. Corporate Office Locations

RMI BPO LLC d/b/a MediNexus Billing maintains domestic corporate facilities within the United States as well as international operational centers:

3. Contracting Entity & Binding Agreements

All Master Services Agreements (MSAs), Statements of Work (SOWs), Business Associate Agreements (BAAs), non-disclosure covenants, and service-level commitments entered into with clients, healthcare entities, hospitals, clinics, or vendor partners are executed legally by and between the client and RMI BPO LLC.

References to “MediNexus Billing”, “MediNexus”, “Company”, “we”, “us”, or “our” in any commercial documentation, billing software portal, proposal, email communication, or agreement denote RMI BPO LLC acting under its registered trade name.

4. Invoicing, Payments & Financial Operations

In accordance with commercial banking and corporate compliance regulations:

• All administrative service invoices, performance fee statements, and electronic payment requests are issued by RMI BPO LLC.
• All client remittances, automated ACH authorizations, wire transfers, and corporate checks must be payable to RMI BPO LLC (or designated depository accounts registered to RMI BPO LLC d/b/a MediNexus Billing).
• RMI BPO LLC maintains dedicated commercial banking relationships strictly separated from client clinical collections. Patient co-pays, insurance electronic funds transfers (835 EFT), and Medicare remittances are deposited directly into client-controlled bank accounts and are never co-mingled with RMI BPO LLC operational funds.

5. Administrative BPO & Non-Clinical Service Bureau

RMI BPO LLC d/b/a MediNexus Billing operates exclusively as a business process outsourcing (BPO) service bureau specializing in healthcare administrative revenue cycle management, certified medical coding, claim scrubbing, clearinghouse electronic data interchange (EDI), and accounts receivable recovery.

RMI BPO LLC is not a medical practice, hospital, healthcare clinic, or law firm. We do not engage in the corporate practice of medicine, make clinical treatment determinations, or render formal legal opinions. All medical necessity, diagnosis, and patient care decisions remain the sole, unassignable responsibility of treating clinicians and client healthcare providers.

6. Intellectual Property & Brand Ownership

“MediNexus Billing”, the MediNexus four-node cross logo, “The RMI Global”, and associated digital assets, website software, claim-scrubbing heuristics, denial resolution workflows, and proprietary materials are protected by applicable trademark, copyright, and trade secret laws.

7. Governing Law & Legal Jurisdiction

RMI BPO LLC is a Limited Liability Company organized and validly existing under the laws of the State of Montana.

Unless otherwise negotiated and specified in an executed Master Services Agreement, these disclosures and any general disputes arising out of the website or corporate business relationship shall be governed by, construed, and enforced in accordance with the substantive laws of the State of Montana, without giving effect to conflict of laws principles.
